Facebook to strip Zuckerberg of control should he leave

SAN FRANCISCO — Mark Zuckerberg would not retain his iron grip on Facebook should he leave the giant social network under a proposal from the board of directors.
The Facebook board is asking shareholders to vote on the proposal that would deny Zuckerberg voting control if he is no longer running Facebook at the annual meeting on June 20. The proposal would ensure "that we will not remain a founder-controlled company after we cease to be a founder-led company," the board said in a filing.
Under the current agreement, Zuckerberg would be able to exercise voting control even if leaves the company. Zuckerberg would also be allowed to pass on those shares, and conceivably his majority voting control, to his descendants after he dies.
The succession planning, first disclosed in April, does not suggest Zuckerberg, 32, is planning on stepping down anytime soon. It's part of Facebook's plan to create a new class of nonvoting stock to aid Zuckerberg — while he's CEO —  to retain control as he and wife Priscilla Chan give away 99% of their Facebook shares over their lifetime to philanthropic endeavors.
Facebook's board is proposing a new class of shares, a "C" class, that will have no voting rights. If the proposal is approved, the shares will be issued as a one-time dividend, two shares apiece to Class A and Class B class common stock holders. The Menlo Park, Calif., company announced the three-for-one stock split in April.

IBM, Weather Co. bring Watson AI to ads

IBM Watson has talked tennis with Serena Williamsand music with Bob Dylan. Now it wants to talk to you.
The Weather Company, acquired by IBM in January, will begin bringing Watson-enhanced interactive advertisements to The Weather Channel and Weather Underground apps on Android and iOS and to weather.com andwunderground.com this summer.
The ads, powered by Watson's artificial intelligence, will let consumers ask questions such as "What would be good to cook for dinner?" or "Is this medicine safe for my child?" The first companies with Watson-enabled ads will be Campbell Soup, GSK Consumer Healthcare and Unilever.
Consumers will be able to engage with Watson Ads from those companies online using voice or text questions. Ads that The Weather Company and IBM Watson teams have tested for Campbell Soups and Hellmann's mayonnaise, a Unilever brand, allow consumers to ask Watson questions such as "'What do you have in your pantry?' or 'What are three ingredients you have on hand?' and Watson goes and creates a recipe based on the product and what is on hand," said Domenic Venuto, The Weather Co.'s general manager for consumer products. "We know a lot of families start to think about that night’s meal about 4 in afternoon."
If the consumer doesn't like the resulting recipe, they can modify the request, perhaps suggesting a flavor profile, he says. And, when relevant, Watson can access weather data for seasonal foods and health care recommendations.
Watson is IBM's platform for artificial intelligence, which it calls cognitive technology. Watson can process large amounts of data such as countless recipes and food combinations -- or when it comes to health care, medical databases, for instance -- assessing, learning and responding in natural language.
The goal is to make interactive ads that consumers willingly interact with, Venuto says. "We have can bring cognitive intelligence or cognitive capabilities and put them into our advertising and make them much more interesting, engaging and useful and bring utility and value to our consumer base," he said.
Advertisers such as GSK Consumer Healthcare hope to better serve customers and learn from what Watson learns from them, says the company's Chief Marketing Officer Theresa Agnew. Should a parent have a question about its Flonase nasal spray, for instance, "rather than them having to use a particular keyword and insert it, they can ask the question the way they are comfortable asking it ... in their own words," she said. "Then through cognitive advertising, the artificial intelligence behind this, we are able to respond and give them the information they are looking for."
Watson "humanizes the whole experience of interacting with a brand," Agnew said. "It’s a really unique new technology that we wanted to be the first movers in."
And what Watson learns could inform the advertiser, too. "There could be some gems of information we get from our consumers in how they are asking questions around new products we might come up with," Agnew said.
As part of the deal announced in October 2015, IBM acquired The Weather Co. brand, its data and digital properties including weather.com, forecasting operation Weather Underground, and Weather Services International, a division that sells software to business customers. The Weather Channel -- owned by the Weather Co.'s original owners, a consortium comprising the private equity firms TheBlackstone Group and Bain Capital, and NBCUniversal -- licenses its forecast data and analytics and its brand from IBM under a long-term contract.
Even before that deal, the companies had worked together with the Weather Co.'s data moving onto IBM's cloud platform. Former Weather Co. CEO David Kenny became head of IBM's Watson platform in January, when the acquisition became final.
Venuto expects Watson Ads to expand soon with additional advertisers in retail, automotive and other food sectors. And, eventually, the ads will be available beyond IBM-owned properties, be shareable on social media and delivered to TV and in connected cars.
The Watson Ads project "really brings the promise of the two companies together in a very tangible way, and relatively quickly," Venuto said. "We’ve only been part of IBM for 120 days."

Multi-LEDS, lasers hold promise of brighter headlights

DETROIT -- Your next car’s headlights could be brighter and more focused, illuminating farther down the road but continually shifting to avoid shining into the eyes of other drivers.
Multi-LED headlights that use cameras to direct their beams with unprecedented accuracy are among the advanced projects supplier Varroc Lighting Systems is developing at its suburban Detroit headquarters.
“Very little changed in automotive lighting for a century, but the last 10 years have seen lots of exciting new technology,” said Scott Montesi, Varroc director of business and product development.
If any company would know that, it’s Varroc. The company got its start in 1879 making lanterns for horse drawn carriages. Varroc Lighting became part of Ford’s Visteon components group, before Indian supplier Varroc Group bought it in 2012. The lighting group now accounts for nearly 60% of the privately held supplier’s $1.3 billion annual sales. Varroc Lighting has engineering and management in Michigan, tech centers in Germany and the Czech Republic and eight manufacturing sites in low-wage countries including Mexico, China, India and the Czech Republic.
The company’s current focus is taking advanced lighting technologies, like the adaptive multi-LED front lighting module, and reducing its cost so it can be used in mainstream models as well as luxury cars.
Automakers increasingly use lights to distinguish their cars visually, like the vertical rows of head and tail lights that make Cadillacs immediately identifiable. New technologies like LEDs also allow lights to shine brighter and farther, increasing safety.
Varroc is focused on two new technologies:
Arrays of LEDs. These use reflectors to produce better, smarter headlights and distinctive running and brake lights. The LEDs also allow owners to customize their lights for a unique look when they approach the car in a parking lot, or when it starts.
•Lasers. These can double headlight range to more than 600 yards in a small package that gives designers more freedom.
The National Highway Safety Transportation Administration is evaluating the LED arrays, which are already on the road in a small number of European luxury cars. Montesi hopes for approval in 2018. The lights might be on American roads a year or two after that.
I tested the system, which Varroc calls Pixel Lamp, on a series of dark, tree-lined country roads near the company’s offices. Pixel Lamp, which should be in production in Europe shortly, keeps the high beams on at all times, but shuts off individual LEDs to keep the lights out of the eyes of drivers in other vehicles. It used 18 LEDs, but Varroc says production systems could have three to 50 LEDs,  depending on cost and sophistication.
It’s amazing to watch the lights smoothly shift so the road remains very brightly illuminated but other drivers are not dazzled. The headlights from oncoming vehicles light the road immediately in front of them, so the shifting LEDs do not create dark spots where you can’t see.
The system will debut on a luxury model, but Montesi thinks Varroc can bring its cost down to the level of conventional HID systems, making it affordable for compact and subcompact cars.
Laser headlights are farther out, but after my test drive, I’m looking forward to the day that wields them like a light saber, slicing through the night with even more brightness and precision.
